Statutes of the association “Kulturwerk des Verbandes Bildender Künstler Sachsen-Anhalt e.V.”

§ 1 Name, registered office, financial year, legal form

The association bears the name “Kulturwerk des Verbandes Bildender Künstler Sachsen-Anhalt”, hereinafter referred to as “Kulturwerk”.

The association is based in Halle.

To obtain legal capacity, the association must be entered in the register of associations of the City of Halle and then bear the addition e. V.

The financial year is the calendar year.

§ 2 Tasks

The Kulturwerk is an association for the promotion of art and culture in the state of Saxony-Anhalt. To this end, it organizes art exhibitions and art events, lectures and courses and carries out all measures suitable for realizing the purpose of the association.

§ 3 Non-profit status

The association pursues exclusively and directly charitable purposes within the meaning of the section “Tax-privileged purposes” of the German Tax Code. The association is selflessly active and does not primarily pursue its own economic purposes. The Association’s funds may only be used for the purposes set out in the Articles of Association. Members do not receive any benefits from the association’s funds. No person may benefit from expenses that are alien to the purpose of the association or from disproportionately high remuneration.

§ 4 Members, supporting members

The members of the association are identical to the state board of the VBK Saxony-Anhalt. Membership is linked to the mandate as a member of the State Board of the BBK Saxony-Anhalt and expires at the end of the term of office.

Any legal entity with legal capacity can become a supporting member. The general meeting decides on admission upon application. Supporting members have no voting rights at general meetings. Sponsoring membership obliges the member to pay a membership fee in accordance with the membership fee regulations to be decided by the General Meeting. Membership expires when the sponsoring member resigns or is expelled by the General Meeting. Resignation is effected by written notification to the Executive Board and is permissible at the end of a calendar year, subject to a notice period of 6 months. Members may be excluded if they are in arrears with their membership fees for more than one year and in the event of conduct detrimental to the association.

§ 5 Bodies

The bodies of the association are the General Meeting and the Executive Board.

§ 6 General Meeting

The General Meeting is the highest body of the association and is held annually at the invitation of the Executive Board. The invitation period is 6 weeks and must be made in writing, stating the agenda.

The General Meeting decides on:

  • the principles of the association’s activities,
  • the admission of new members and the expulsion of members,
  • the approval of the financial plan submitted by the Board of Directors,
  • the determination of contributions,
  • Amendments to the Articles of Association and dissolution of the Association,
  • Acceptance and approval of the financial statements and discharge of the Board of Directors,
  • Election of the Executive Board.

The General Meeting convened in accordance with the Articles of Association is quorate if at least 2/3 of all ordinary members are present. Resolutions are passed by majority vote. A tie vote is considered a rejection. Amendments to the Articles of Association require a 2/3 majority of the members present. If the General Meeting is unable to pass a resolution, the Board of Directors is obliged to convene a second General Meeting with the same agenda within two weeks. This is quorate regardless of the number of members present; this must be indicated in the invitation.

An Extraordinary General Meeting shall be convened by the Board of Directors at the request of 30% of the members.

Minutes shall be taken of the proceedings and resolutions of the General Meeting and shall be signed by one of the two chairpersons and the secretary.

§ 7 Executive Board

The extended board of the “Kulturwerk” association consists of three members, the 1st Chairman, the 2nd chairman and the treasurer. The Executive Board within the meaning of BGB § 26 are 1. and 2nd Chairwoman. There is sole power of representation.

The Executive Board manages the business of the association. He is responsible for the administration of the association’s assets. The Board of Directors works on a voluntary basis. Expenses are only reimbursed after settlement with suitable receipts.

§ 8 Liability

Only the association is liable for its obligations. The liability of individual members is excluded.

§ Section 9 Assets and profit

The association is selflessly active; it does not primarily pursue its own economic purposes. The association does not seek to make a profit.

Within the meaning of § 55 para. I no. I The members do not receive any benefits from the association’s funds; no person may benefit from expenses that are alien to the purpose of the association or from disproportionately high remuneration. The Association’s funds may only be used for the purposes set out in the Articles of Association. The General Meeting decides on the accounts.

§ 10 Dissolution

The dissolution of the Association shall be effected by resolution of the Annual General Meeting with 3/4 of the votes of all ordinary members and only after prior announcement of this agenda item to all members eight weeks before the meeting. In the event of dissolution or annulment of the Association, the assets of the Association shall be donated to cultural purposes to be specified in the resolution on dissolution.

In the event of the dissolution of the Association or the discontinuation of its previous purpose, the assets of the Association shall be transferred to a public corporation or another tax-privileged corporation for the promotion of art and culture for the purpose of promoting artistic creation in accordance with § 2 of these Articles of Association.
